How long does a cash real estate purchase take?

In France, the steps for buying a property follow a path defined by law and notary practice. Generally, three months pass between signing the preliminary sales agreement and the final deed.

However, this three-month period is neither an absolute rule nor a legal requirement. It is an average, influenced by the complexity of the file, the responsiveness of the parties, and whether or not bank financing is involved. 

In most sales, the steps involved in applying for a mortgage significantly extend the timeline. But when no loan is involved, a sale can be finalized in three weeks, or even less, provided each step of the process is completed quickly:

  1. Signing the preliminary sales agreement,
  2. Payment of the security deposit and expiration of the cooling-off period,
  3. Fulfillment of conditions precedent
  4. Expiration of the right of first refusal
  5. Signing the final deed and handing over the keys

1. Signing the preliminary sales agreement

Once you have found the perfect property and the seller has accepted your offer, the notary steps in to gather all the documents required to draft the preliminary sales agreement.

Signing the preliminary sales agreement marks the starting point of the property purchase process. This document, governed by Article 1589 of the Civil Code, legally binds the seller to transfer the property and the buyer to purchase it, subject to certain conditions (see below).

These documents include, in particular:

  • the property deed of the seller, confirming their legal ownership of the property;
  • themortgage status report, to verify that no debts or liens hinder the sale;
  • the mandatory technical inspections (asbestos, lead, energy performance, electricity, gas, etc.);
  • a zoning certificate and, depending on the situation, other documents related to pre-emption rights or condominium regulations.

Obtaining and verifying these documents can take time, especially when some are missing or need to be updated. For example, inspections may need to be redone before signing, or certificates of compliance from a property manager or town hall may take time to reach the notary's desk.

To sign a preliminary sales agreement quickly, the notary's responsiveness and the availability of all parties are key. An organized notary will manage a fast sale by anticipating the necessary steps and proactively following up with stakeholders. Conversely, an overloaded notary or an unavailable seller will inevitably extend the timeline by several days or even weeks.

This is why it is important to be responsive and organized: the more complete the file, the sooner it can be approved and the faster the sale will progress.

2. Payment of the security deposit and the cooling-off period

Once the preliminary sales agreement is signed, the buyer generally pays a security deposit amounting to between 5% and 10% of the sale price. The funds are held by the notary or real estate agent in an escrow account until the final deed of sale is signed.

Signing the preliminary agreement also marks the start of a 10-day cooling-off period. Provided for by Article L.271-1 of the Construction and Housing Code, this right allows the buyer to withdraw from the agreement without needing to provide a reason or pay a penalty.

If the buyer decides to exercise their right of withdrawal, they must notify the seller via registered letter with acknowledgment of receipt. In this case, the sale is cancelled with no financial consequences: the notary will refund the full security deposit within a maximum of 21 days.

Conversely, if the buyer proceeds with the purchase, the preliminary agreement becomes fully binding. The security deposit remains held in escrow until the final deed is signed. At the time of the final payment, the security deposit amount will be deducted from the property's sale price.

3. Fulfillment of conditions precedent

The preliminary sales agreement becomes fully effective once certain conditions, known as "conditions precedent," are met. These clauses protect both parties by suspending the execution of the sale until a specific event occurs. Article 1304 of the Civil Code states that an obligation is conditional when its execution is subordinated to a future and uncertain event.

In the context of a real estate sale, the most common condition precedent concerns obtaining a mortgage loanThe minimum legal timeframe is set at 30 days, but in practice, banks often require 45 to 60 days to process a complete application. 

This stage includes the solvency analysis, the issuance of the loan offer, and the mandatory ten-day reflection period before the borrower can accept. Finally, the release of funds typically occurs two to three weeks after the loan offer is signed.

In other words, using a loan significantly extends the time between the preliminary agreement and the final sale.

Consequently, a sale without a bank loan can speed up the process by several weeks or even months. This allows efforts to be focused on notary checks and the clearing of the right of first refusal, without being dependent on a bank's timeline.

Parfois, il arrive que le vendeur soit lui-même impliqué dans une autre vente et que la réussite de cette opération soit une condition suspensive (ex: le propriétaire vend sa résidence principale pour en acheter une autre.)

4. Clearing the right of first refusal

Once the conditions precedent have been met, the notary must complete an essential formality: clearing the urban right of first refusal

This right, established by the Urban Planning Code, allows a municipality or a public land establishment to step in for the initial buyer to acquire the property if it is located in an area where this right applies. 

In other words, the town hall may decide to purchase the property instead of the buyer to carry out a development project, build social housing, or expand public facilities.

To clear the right of first refusal, the notary sends a Declaration of Intent to Alienate (DIA) to the town hall as soon as the preliminary sales agreement is signed. This declaration details key information: the identity of the parties, the property address, the agreed price, the terms of the transaction, and sometimes the mandatory property inspections.

Upon receipt of the DIA, the local authority has a two-month statutory period to announce its decision:

  • either it waives its right of pre-emption, and the sale may proceed;
  • or it exercises its right of pre-emption and the property is then sold to the town hall at the agreed price (or after negotiation, should a disagreement arise).

In the vast majority of cases, the town hall does not exercise this right and notifies its waiver of the right of pre-emption well before the two-month period expires. In any case, as long as you have not received a response from the town hall, you cannot sign the deed of sale.

For the buyer, this step can feel frustrating, as it is completely out of their control. However, it is an essential legal phase that protects both local authorities and the transparency of the real estate market.

That said, buying without a loan remains an advantage at this stage because once the right of pre-emption has been cleared, the notary can immediately proceed with the signing of the deed of sale.

5. Signing the deed of sale and handing over the keys

Before the final signing, the notary checks the seller's title deed, ensures there are no outstanding mortgages or easements, and verifies the property's cadastral and land status with the land registration office. These steps are essential to guarantee that the buyer receives the property "free and clear of any encumbrances."

At the same time, the notary gathers all mandatory documents. If the property is part of a condominium, they must also obtain the condominium bylaws, the minutes from the most recent general meetings, and an updated statement of charges.

A missing document can delay the signing date of the deed of sale, which is why it is important for the seller to provide a complete file from the start and for the buyer to remain available for any additional requests from the notary.

Once all documents have been gathered, the notary drafts the draft deed of sale. This document includes all the essential information regarding the transaction:

  • the full identities of the parties (seller and buyer);
  • a precise description of the property;
  • the sale price and payment terms;
  • the date of transfer of ownership and risk;
  • the statement of the origin of ownership;
  • the fulfillment of conditions precedent and the waiver of any right of first refusal;
  • any specific clauses (deferred possession, easements, retained usufruct, etc.).

On the big day, the buyer, the seller, and the notary meet to sign the deed. The signing can take place in person or remotely via a secure electronic signature (an increasingly common option).

Once the deed is signed and the funds have been transferred to the notary’s escrow account, the transfer of ownership is effective. The seller then hands over the keys to the buyer, and the notary provides them with a certificate of ownership. This document serves as proof until the final registration of the sale with the land registry, a formality that generally takes a few weeks. The notary then handles this registration and keeps a copy of the deed in their archives for 75 years.

Prepare a complete file from the start

A real estate transaction, even without a loan, involves a series of essential legal and administrative checks. The more complete your file is, the faster the notary can move forward.

As a buyer, you will need to provide a valid ID, recent proof of address, and, if buying as a couple, your marriage certificate or civil partnership agreement. These documents allow the notary to correctly establish your marital status and matrimonial regime, both of which are essential for drafting the preliminary agreement and the final deed.

However, the time between a preliminary sales agreement and the final deed also depends on the seller's preparation and responsiveness. Even before signing the preliminary agreement, ensure their file is complete. This includes:

  • the property title, 
  • up-to-date technical inspections (energy performance certificate, asbestos, lead, electricity, etc.),
  • in the case of a condominium, documents from the property manager (condominium bylaws, minutes of the latest general meetings, statement of charges, etc.)

Choose a responsive and well-organized notary

The sooner the notary is appointed, the faster they can begin the process, which avoids losing precious days, especially when the goal is to close the sale quickly.

However, a notary's responsiveness, organization, and mastery of digital tools can make the difference between a transaction closed in a few weeks and a file that drags on. For example, if you are buying in Paris, where demand is high and notaries are often very busy, it is important to entrust the sale to an experienced professional who is available and familiar with the neighborhood where you are buying.

Whenever possible, buyer and seller can entrust the transaction to the same notary. This solution does not change the cost (the fees are simply shared between the two offices when there are two) but it significantly simplifies communication. A single point of contact centralizes all documents, coordinates checks, and organizes the signing, which limits unnecessary back-and-forth and administrative delays.

From your very first conversation, tell your notary that you want to move quickly and ask them to estimate the likely timeline based on the complexity of your case. An experienced notary will provide a clear estimate and outline the roadmap needed to meet your schedule.

Negotiating a shorter timeline in the preliminary agreement

The time between signing the preliminary agreement and the final deed of sale is not set by law: it is freely determined by the parties and written into the contract. If you are buying without a bank loan, nothing stops you from negotiating a shorter timeline.

By setting a shorter deadline from the start, you establish a goal that encourages all parties to move quickly, which helps minimize administrative delays or oversights. 

However, it is important to keep a safety margin. Certain steps in the process have fixed timeframes, such as the city's right of first refusal or the receipt of land registry and mortgage documents. To avoid last-minute roadblocks, be sure to include an addendum clause that allows for a deadline extension in the event of administrative delays beyond your control.

Stay proactive in following up on your file

Once the preliminary agreement is signed, it is important to maintain regular contact with the notary until the final deed is signed. If necessary, do not hesitate to follow up (tactfully) to check on the progress of the proceedings. A simple call or a well-worded email can sometimes break a deadlock and encourage the notary to give your file special attention.

At the same time, you can communicate regularly with the seller or their real estate agent to ensure that all necessary documents have been sent to the notary. Keep in mind that a single missing document can hold up the drafting of the deed. 

For your part, make sure to remain available and responsive so you can immediately address any requests from the notary (e.g., signing an additional document, providing details on your civil status, or submitting proof of the source of funds). These details may seem minor, but when they are delayed, they can significantly extend the duration of the sale.
